These Terms of Use ("Terms") constitute a legally binding agreement between you and Fawn Industries, Inc. ("Fawn Industries," "we," "us," or "our"), governing your access to and use of the website located at fawnindustries.com (the "Site") and any content, features, or services made available through the Site.

By accessing or using the Site, you represent that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them in their entirety. If you are accessing the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Site. We reserve the right to modify these Terms at any time. Your continued use of the Site following any modification constitutes your acceptance of the revised Terms.

The Site is provided for lawful business and informational purposes only. You may access and use the Site solely for the purpose of learning about Fawn Industries' products, services, capabilities, and business operations, and for communicating with us in connection with legitimate business inquiries.

3.1 Ownership

The Site and all of its content, features, and functionality — including but not limited to text, graphics, logos, photographs, images, audio and video clips, data compilations, software, and the selection and arrangement thereof — are owned by Fawn Industries, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Trademarks

The Fawn Industries name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Fawn Industries, Inc. or its affiliates. You must not use such marks without the prior written permission of Fawn Industries. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

3.3 Proprietary Manufacturing Processes

Fawn Industries has developed proprietary injection molding processes, tooling methodologies, quality control systems, and manufacturing techniques over more than seven decades of operation. Any information on this Site relating to our manufacturing capabilities, processes, materials expertise, or technical specifications is provided for general informational purposes only and does not constitute a disclosure of trade secrets or proprietary know-how. Nothing on this Site grants any license or right to use, replicate, or reverse-engineer any Fawn Industries proprietary process or technology.

3.4 Limited License

Subject to these Terms, Fawn Industries grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use or for legitimate business evaluation purposes. This license does not include the right to:

4.1 Our Confidential Information

In the course of your interactions with Fawn Industries — whether through the Site, quote requests, supplier discussions, or business negotiations — you may receive or have access to information that is confidential or proprietary to Fawn Industries, including but not limited to pricing information, customer lists, manufacturing specifications, tooling designs, process parameters, quality data, and business strategies ("Confidential Information").

You agree to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without our prior written consent; (c) use Confidential Information solely for the purpose of evaluating or conducting business with Fawn Industries; and (d) protect Confidential Information using at least the same degree of care you use to protect your own confidential information, but in no event less than reasonable care.

4.2 Non-Disclosure

The obligations in this Section survive termination of any business relationship between you and Fawn Industries and shall remain in effect for a period of five (5) years from the date of disclosure, or indefinitely with respect to trade secrets under applicable law.

4.3 Exclusions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known to you before disclosure by Fawn Industries; (c) is independently developed by you without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided you give Fawn Industries prompt written notice and cooperate with any effort to seek a protective order.

5.1 Quote Requests and Inquiries

When you submit a quote request, contact form, or other inquiry through the Site, you grant Fawn Industries the right to use the information provided to respond to your inquiry, evaluate your request, and communicate with you regarding our products and services. You represent that all information you submit is accurate, complete, and not misleading.

5.2 No Unsolicited Ideas

Fawn Industries does not accept or consider unsolicited ideas, suggestions, or proposals for new products, processes, or business strategies through the Site. Any such submissions will be treated as non-confidential and non-proprietary, and Fawn Industries shall have no obligation to keep such information confidential or to compensate you for its use.

5.3 Feedback

If you provide feedback, comments, or suggestions regarding the Site or our services ("Feedback"), you grant Fawn Industries a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate such Feedback into our products and services without any obligation to you.

6.1 No Warranties

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, PRODUCTS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FAWN INDUSTRIES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

While Fawn Industries endeavors to keep the information on the Site accurate and up to date, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the information, products, services, or related graphics contained on the Site. Technical specifications, certifications, and capability descriptions are subject to change without notice.

6.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FAWN INDUSTRIES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ANY CONTENT THEREON.

IN NO EVENT SHALL FAWN INDUSTRIES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).

These links are provided for your convenience only. Fawn Industries has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.

Fawn Industries manufactures precision plastic components for a variety of industries, including automotive, medical, industrial, and defense-adjacent markets. The information, products, and services described on this Site may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR).

You agree to comply with all applicable export control laws and regulations in connection with your use of the Site and any information obtained from it. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, and that you are not on any U.S. government list of prohibited or restricted parties.

9.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the State of Maryland, without giving effect to any choice or conflict of law provision or rule.

9.2 Jurisdiction

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Maryland, in each case located in Baltimore County, Maryland. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

9.3 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY HEREBY IRREVOCABLY WAIVES ALL RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.

9.4 Time Limitation

Any cause of action or claim you may have arising out of or relating to these Terms or the Site must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

You agree to defend, indemnify, and hold harmless Fawn Industries, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including but not limited to any use of the Site's content, services, and products other than as expressly authorized in these Terms.

11.1 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

11.2 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by Fawn Industries on the Site, constitute the entire agreement between you and Fawn Industries concerning the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site.

11.3 Waiver

No waiver by Fawn Industries of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Fawn Industries to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
